What is Form 4: Form 4 is a document that must be filed with SEC, whenever there is a material change in holdings of company insiders. Every director, officers of company as well as any shareholder owning above 10% of company's stock, are required to file Form 4 to SEC. Form 4, will contain name of insider, their relationship to company, number of shares traded and the price it was traded. A form 4 is mandatory within two business days from the end of the day the material transaction occurred. The transaction code mentioned in the Form 4 document, will provide the reason for the transaction. The transaction codes along with the description is mentioned in Transaction Code's section of this app. Historical information for the Form4 fillings would be available for the past 1 year. What is Form 13F: Form 13F is a quarterly report that is filed by institutional investment managers with at least $100 million in equity assets under management. It discloses their U.S. equity holdings to the SEC and provides insights into what the smart money is doing. Firms that are required to file 13F's include mutual funds, hedge funds, trust companies, pension funds, insurance companies and registered investment advisers. Form 13F must be filed within 45 days of the end of a calendar quarter and include information about each security over which the institutional investment manager has investment discretion, including the name and class, the number of shares as of the end of the quarter being reported on and the total market value. Form 13F filings provide investors with an inside look at the holdings of Wall Street's top stock pickers and their asset allocation strategies. What is Form 13D/Form 13G: Every firm, person or group that acquires 5% of a company is required to file beneficial ownership form, which is Form 13D or Form 13G. This information must be disclosed within 10 days of the transaction. Please don’t make it a subscription based so please don’t change a thing :) ### 5/5 — Doesn’t work *2023-03-07* I got this app to receive halt notifications on stocks when they happen in real time. Unfortunately, the push notifications don’t work, and I never get an update for new halts. I paid for the full service too. A waste of money. **Developer response:** Thanks for your feedback. But the site itself can be cumbersome and not optimized for mobile, especially verifying the insider forms. My card has been charged. The app says I have the subscription when I click on the button to subscribe. But when I try to use the features, it doesn’t allow. **Developer response:** Hi, Can you try to re install the app and then restore your purchase. Thanks, Insider Forms Support ### 2/5 — No longer free *2021-02-28* Was pretty good free app, but not subscription based no free option **Developer response:** Thanks for your feedback, especially for mentioning the app was good in the free version. Insider Forms app was a free app for last 4 years. During this period we had absorbed all the cost for maintaining this app, the cost included data licensing fee, server maintenance cost etc. But off late the price for maintenance has increased considerably and we are not able to take up these maintain cost anymore. The only option we had was either to discontinue this app or make this subscription based. Also the current subscription price we have currently, we would not make any profit. It is only to keep the app running and provide value to investors and users. Other providers charge $25 to $30 per month, for features far less than what we provide. We have developed this app keeping retail investors in mind and have the lowest price available in market. We are sorry to lose existing members, because of this price change, but there was no other way around for us. Even better than the SEC site itself to set up notifications! The app seems to struggle with some companies filings. (For example I know company X filed a 13G but the app shows no 13 forms filed for the year). Not sure how it’s pulling the data or it could be the fault of the SEC site integration itself, but I hope the app improves.
