vestrs gives accredited investors a way into India’s unlisted startup market, one round at a time, through a structure built for cross-border investing. India runs the third-largest startup ecosystem in the world, and for most global investors it has been effectively closed. vestrs opens it. Browse live rounds, read the pitch and the offering documents, verify your eligibility once, and commit from $5,000. Every investment travels to India as foreign direct investment through a US special purpose vehicle, so the structuring and filing work sits with us rather than with you. WHAT YOU CAN DO • Browse live and upcoming rounds in private Indian companies • Read the company story, the deal terms and the offering documents before you commit • Complete identity (KYC/AML) and accredited-investor verification in the app • Submit your W-9 or W-8BEN and sign the subscription agreement electronically • Fund the escrow account of the round’s US SPV • Follow every commitment, its documents and its funding status • Read plain-English guides to SPVs, India’s FDI framework and cross-border tax HOW A ROUND WORKS 1. Create an account and browse the marketplace. 2. Pick a live round, read everything, and enter your amount. 3. Verify your identity, then your accredited-investor status. 4. Submit your tax form and sign the subscription agreement. 5. Transfer your investment to the escrow account of the round’s SPV. 6. Hold until an exit event such as an acquisition or IPO. THE STRUCTURE Each round is held through its own Wyoming LLC, formed for that single investment and managed by Vegadash LLC. Investors are passive members with no management rights. The SPV appears as a single line on the startup’s cap table, declares its beneficial owners, files FC-GPR with the Reserve Bank of India, and handles India tax compliance. US persons receive a Schedule K-1. WHO CAN INVEST You must be 18 or over and qualify as an accredited investor under Rule 501(a) of Regulation D. Non-US investors are welcome where their own law permits. The app is not available to residents of India, to residents of jurisdictions under comprehensive US sanctions, or to anyone individually sanctioned. Further restrictions apply to nationals of countries sharing a land border with India under India’s Press Note 3. Verification must be complete before you can commit to a round. IMPORTANT RISK DISCLOSURE Investments in private companies are speculative and illiquid, and you may lose your entire investment. There is no trading market for these securities and resale is restricted, so your position stays illiquid until an exit event that may never happen. Private valuations are subjective. Capital is raised in US dollars and deployed in Indian rupees, so exchange rates affect what you get back. Your ownership can be diluted in later rounds. Indian and US tax treatment is complex; consult your own tax adviser. Only commit money you can afford to lose in full. Vestrs LLC is not a registered broker-dealer, funding portal, investment adviser or transfer agent, and is not registered with the SEC, FINRA, SIPC or SEBI. vestrs does not provide investment advice and does not recommend, endorse or rate any opportunity. No vestrs entity takes custody of investor funds or securities. Nothing in this app is an offer to sell securities; any offer is made only through a private placement memorandum and the related offering documents, which control. Questions? support@vestrs.com
